What Is Considered a Breach of Contract?

A contract breach is just as it sounds: one party failing to uphold their end of a binding contract. What this looks like varies widely and differs from one industry to the next.

However, contract breaches fit into two general categories:

  • Minor breaches occur when one party fails to adhere to small contract provisions that do not compromise the entire agreement.
  • Material breaches are when a party does not fulfill a significant part of contract terms, thus rendering it “irreparably broken.”

Breaches can occur because a party refuses to perform their contractual obligations. They might also happen because one party believes the contract was unfair or its terms were unclear.

Proving Contract Breaches

While it might seem straightforward, proving that one party has breached a contract is often tricky. First, you must establish that you and one or more parties entered a valid contract.

To be “valid,” a contract should feature the following elements:

  • An offer for goods or services
  • Acceptance of the offer
  • Evidence of an exchange of something of value between parties
  • The offer used clear terms
  • Evidence that the parties had the capacity to agree to the contract

Additionally, a valid contract cannot include any elements that violate relevant state or federal laws.

After proving a contract existed and was valid, you must provide evidence that one party did not adhere to the contract’s terms. Then, you will need to show proof that the breach resulted in losses, such as missed profits or added expenses.

Of course, you do not have to handle the above on your own. Our Jupiter breach of contract attorney can help you gather and organize documentation and pursue the remedies you deserve.

Florida’s Statute of Limitations for Contract Breaches

After a breach of contract, you generally have five years to file a lawsuit. However, this window is shorter for oral contracts, which have a statute of limitations of four years.

If you are seeking legal action to have an at-fault party perform a specific action (instead of pursuing damages), the statute of limitations is one year.

The Available Legal Remedies

You can pursue the following legal remedies for a breach of contract:

  • Damages: This is compensation meant to cover the non-breaching party’s losses
  • Recission: This makes it so the non-breaching party does not have to adhere to the contract’s terms any longer
  • Specific performance: This remedy requires the breaching party to fulfill their contractual duties
  • Cancellation and restitution: This remedy cancels the original contract and helps the non-breaching party return to their pre-contract financial position
  • Punitive damages: In cases involving fraud, courts may award punitive damages to penalize the breaching party

Which remedy is available for your case? Our litigation attorney can determine the most suitable for your business and the contract you entered.
